TERMS AND CONDITIONS

These Terms and Conditions (the "Terms") govern your access to and use of the websitelocated at www.jennakrypell.com and any related mobile sites and applications (collectively, the "Site"), operated by Jenna Krypell studio LLC and JK Editions LLC, ("Company," "we," "us," or "our"). By accessing or using the Site, creating an account, or purchasing anyproducts from us, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Site.

1. Eligibility and Account Registration

​

1.1 Eligibility. The Site is intended for use by individuals who are at least 18 years of age and capable of forming a binding contract under applicable law. By using the Site, you represent and warrant that you meet these requirements.

​

1.2 Account Registration. To access certain features of the Site or make purchases, you maybe required to create an account and provide certain information, including your name, email address, billing and shipping address, and payment information. You agree to:

(a) provide accurate, current, and complete information; and

(b) update such information as needed to keep it accurate, current, and complete.

1.3 Account Security. You are responsible for maintaining the confidentiality of your accountcredentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

2. Products, Including Custom and Made-to-Order Item

2.1 Products. We sell furniture, décor items, and related products (the "Products") via the Site, including standard, in-stock items and custom or made-to-order items that are manufactured or modified to your specifications ("Custom Products").

​

2.2 Product Descriptions. We make reasonable efforts to display accurate descriptions, specifications, dimensions, colors, and images of the Products. However, minor variations may occur, including due to differences in display settings, natural material variations (e.g., wood grain, fabric dye lots), and manufacturing tolerances. Such reasonable variations willnot be considered defects.

 

 

2.3 Custom Products. For Custom Products:

(a) You are responsible for confirming that all specifications, dimensions, materials, finishes, colors, configurations, and any other custom details you provide or approve are accurate and suitable for your intended use and space.

(b) Once you approve a design, specification sheet, or order confirmation for a Custom Product (including via email or online approval), the order is considered final and cannot becancelled or modified, except as expressly permitted by these Terms or required by law.

(c) Reasonable variations in color, texture, pattern, or grain that are inherent to the materialsor manufacturing processes will not be deemed defects.

(d) Custom Products may have longer lead times than standard items. Any estimated production or delivery timelines are approximate and subject to change.

2.4 Availability. All Products and features displayed on the Site are subject to availability. We reserve the right to limit quantities, discontinue Products, or modify Products, descriptions, and pricing at any time without notice.

​

2.5 Assembly and Installation. Some Products may require assembly, installation, wall-mounting, or specific handling. You are solely responsible for proper assembly, installation, and use, including adherence to included instructions, use of appropriate tools and hardware, and compliance with applicable building or safety codes. We are not responsible for anydamage or injury resulting from improper assembly, installation, or use.

2.6 Use in Residential and Commercial Spaces. Unless otherwise stated, Products are intended for normal residential use. If you use Products in commercial, hospitality, or otherhigh-traffic environments, you assume full responsibility for ensuring that the Products are suitable and comply with applicable codes and standards.

3. Orders, Pricing, and Payment

​

3.1 Placing Orders. By placing an order through the Site, you are making an offer to purchase the Products in your order at the prices and on the terms stated at the time of order. We may accept or reject any order at our sole discretion, including in cases of suspected fraud, errors in pricing or Product information, or supply issues.

3.2 Order Confirmation. After you place an order, you may receive an email acknowledgingreceipt of your order. This acknowledgment does not constitute acceptance of your order. Acceptance occurs when we send you a shipping confirmation email or otherwise indicatethat your order has been accepted.

​

3.3 Custom Product Deposits. For Custom Products, we may require a non-refundabledeposit or prepayment, as specified at checkout, in your quote, or in your order confirmation. You acknowledge and agree that:

(a) any specified non-refundable deposit is earned upon our acceptance of your order and covers design, material procurement, and production scheduling; and

(b) if you cancel or attempt to cancel a Custom Product order after acceptance, we may retainall or part of the deposit and/or charge additional cancellation fees to cover our costs and losses, to the extent permitted by law.

3.4 Pricing. All prices are shown in U.S. Dollars (USD), unless otherwise indicated, and are subject to change at any time without notice. We make reasonable efforts to ensure accuratepricing; however, errors may occur. If we discover a pricing error affecting your order, wemay cancel your order or contact you to confirm whether you wish to proceed at the correct price.

3.5 Taxes. Prices do not include applicable sales, use, value-added, or other taxes, levies, or duties, unless expressly stated. For orders shipped to New York and other applicable jurisdictions, we will charge sales tax as required by law. You are responsible for all such amounts, which will be added to your order total where required by law, based on your shipping address and applicable tax rules.

3.6 Payment. You authorize us (and our third-party payment processors) to charge yourselected payment method for the full amount of your order, including Product price, shipping, handling, and applicable taxes, and any deposits or other fees disclosed to you. By providing a payment method, you represent and warrant that you are authorized to use that payment method.

​

3.7 Declined or Unauthorized Payments. If your payment is declined or reversed, or if wesuspect any unauthorized or fraudulent activity, we may cancel or suspend your order, your account, or your access to the Site.

​

4. Shipping, Delivery, and Risk of Loss

​

4.1 Shipping and Handling. We will arrange delivery of the Products to the shipping addressyou provide at checkout. Applicable shipping and handling charges will be disclosed at checkout. Certain Products, including oversized items and Custom Products, may be subjectto additional delivery fees (e.g., white-glove delivery, stair fees, difficult access surcharges).

4.2 Delivery Estimates. Any shipping or delivery dates or timeframes provided are estimatesonly and are not guaranteed. We are not liable for any delays in shipment or delivery due to carrier delays, weather, labor disputes, supply chain disruptions, or other causes beyond our reasonable control.

​

4.3 Risk of Loss; Title. Title to the Products and risk of loss or damage pass to you upon ourdelivery of the Products to the carrier. If a shipment is lost or damaged in transit, you are responsible for filing any claims with the carrier, except where otherwise required by applicable law or expressly stated in our shipping policy.

​

4.4 Delivery Access and Conditions. You are responsible for ensuring that the deliverylocation is accessible and safe and that Products can fit through doors, hallways, staircases, elevators, and other access points. We may charge additional fees for redelivery, storage, or failed delivery attempts arising from access issues.

​

4.5 White-Glove and In-Home Services. We do not provide White-Gloves delevery neitherIn-Home Services. You are responsible for ensuring your presence during the delivery.

​

5. Inspection, Returns, and Refunds

​

5.1 Inspection Upon Delivery. You agree to inspect the Products promptly upon delivery for any visible damage, defects, or missing items and to notify us within 48 hours of delivery of any issues. For concealed damage, you must notify us within a reasonable time afterdiscovery and no later than 2 days after delivery, unless a longer period is required by law.

​

5.2 All sales are final. To the maximum extent permitted by applicable law, JK Editions does not accept returns of any products purchased.

Notwithstanding the foregoing, nothing in this Return Policy limits or excludes anymandatory statutory rights that cannot be waived under applicable law. Where required by applicable law, JK Editions will provide a remedy for defective, nonconforming, or damagedproducts in accordance with such law, which may include repair, replacement, or refund at JK Editions’s discretion and as required by law.

If you believe a product is defective, nonconforming, or damaged on arrival, you must notify JK Editions at editions@jennakrypell.com within 48 hours after delivery and include you rorder number, a description of the issue, and supporting evidence (e.g., photos). Failure to provide timely notice may limit available remedies to the extent permitted by applicable law.

5.3 Non-Compliance. If you fail to comply with our Return Policy or these Terms, including by returning Products in used or damaged condition (other than damage or defects present at delivery), we may refuse the return or provide only a partial refund.

​

6. Warranties and Disclaimers

​

6.1 Manufacturer Warranties. Some Products may include a limited warranty from the manufacturer. Any such warranty is provided directly by the manufacturer, not by us, and your remedies are limited to those set forth in the manufacturer’s warranty, to the maximum extent permitted by law.

​

6.2 Limited Warranty by Company (If Any). To the extent we offer any written limitedwarranty for certain Products, the terms of that warranty will be provided with the Product or on the Site and will govern over any inconsistent provisions of these Terms with respect to those Products.

​

6.3 General Disclaimer. EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN WARRANTY ISSUED BY US OR THE MANUFACTURER, THE SITE AND ALL PRODUCTS AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

6.4 Safety and Compliance. You are responsible for ensuring that the Products are usedsafely, maintained properly, and installed in accordance with all instructions and applicable laws and regulations. We do not warrant that any Product is suitable for a specific use or location unless expressly stated in writing.

​

6.5 No Guarantee of Availability or Error-Free Operation. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any defects will be corrected.

 

7. User Content and Reviews

7.1 User Content. The Site may allow you to post or submit reviews, ratings, comments, photos, or other content ("User Content"). You are solely responsible for your User Content and for ensuring that it complies with these Terms and all applicable laws.

​

7.2 Prohibited Content. You agree not to post or submit User Content that is:

(a) false, misleading, or deceptive;

(b) defamatory, obscene, offensive, or otherwise objectionable;

(c) discriminatory, harassing, or abusive;

(d) infringing, violating, or misappropriating any intellectual property, privacy, or other rightsof any third party; or

(e) in violation of any law, regulation, or contractual obligation.

7.3 License to Company. By submitting User Content, you grant us a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, display, and perform such User Content, in anymedia now known or later developed, for any lawful purpose, including for marketing and promotional purposes, without compensation to you.

7.4 Moderation. We may, but are not obligated to, monitor, edit, or remove User Content at our sole discretion. We are not responsible for User Content posted by you or any third party.

8. Intellectual Property

8.1 Site Content. The Site and all content, features, and functionality, including text, graphics, photographs, logos, designs, icons, images, audio clips, video clips, software, and the selection and arrangement thereof (collectively, "Site Content"), are owned by us, ourlicensors, or other providers and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

8.2 Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Site Content for your personal, non-commercial use only. No other rights are granted, and all rights not expressly granted are reserved.

8.3 Trademarks. Our name, logos, and all related names, logos, Product names, service names, designs, and slogans are trademarks or service marks of Company or our affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, and marks on the Site are the trademarks of their respective owners.

8.4 Restrictions. You agree not to:

(a) reproduce, distribute, publicly display, or create derivative works of the Site or Site Content except as expressly permitted;

(b) use any data mining, robots, or similar data gathering or extraction methods;

(c) circumvent or disable any security or access controls on the Site; or

(d) use the Site or Site Content for any commercial purpose without our prior written consent.

9. Prohibited Uses

You agree not to use the Site:

(a) in any way that violates any applicable federal, state, local, or international law or regulation;

(b) to engage in fraudulent or deceptive activities;

(c) to transmit or procure the sending of any advertising or promotional material without ourprior written consent (e.g., "junk mail," "chain letters," "spam");

(d) to impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity; or

(e) to interfere with or disrupt the operation of the Site or any servers, networks, or systems connected to the Site.

10. Third-Party Services and Links

10.1 Third-Party Services. The Site may contain links to third-party websites, services, or resources that are not owned or controlled by us (including shipping carriers, paymentproviders, financing services, or social media platforms). We provide these links for yourconvenience only.

 

10.2 No Endorsement or Responsibility. We do not endorse, and are not responsible or liable for, any third-party sites, services, content, or practices. Your use of any third-party site or service is at your own risk and is subject to such third party’s terms and conditions and privacy policies.

11. Limitation of Liability

11.1 Exclusion of Certain Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COMPANY, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH:

(a) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE;

(b) ANY PRODUCTS OR SERVICES PURCHASED THROUGH THE SITE (INCLUDING CUSTOM PRODUCTS); OR

(c) THESE TERMS,

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Direct Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE, THE PRODUCTS, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

 

12. Indemnification

You agree to indemnify, defend, and hold harmless Company, its affiliates, and theirrespective officers, directors, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

(a) your use of the Site or the Products;

(b) your breach or alleged breach of these Terms; or

(c) your violation of any law or the rights of any third party.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

13. Privacy

Our collection, use, and disclosure of personal information through the Site are governed by our Privacy Policy, available at [PRIVACY POLICY URL], which is incorporated by reference into these Terms. By using the Site, you consent to our collection and use of yourinformation as described in the Privacy Policy.

14. Termination and Suspension

14.1 Termination by You. You may stop using the Site and request closure of your account at any time by contacting us at editions@jennakrypell.com

14.2 Suspension or Termination by Company. We may suspend or terminate your access to the Site or your account, in whole or in part, at any time and for any reason, including if we believe you have violated these Terms or applicable law, or to protect the security or integrity of the Site.

14.3 Effect of Termination. Upon termination, your right to use the Site will immediately cease. Termination will not affect any rights or obligations that:

(a) have accrued as of the effective date of termination; or

(b) by their nature are intended to survive termination (including, without limitation, paymentobligations, intellectual property provisions, disclaimers, limitations of liability, and indemnification).

15.1 Changes to the Site. We may update, modify, or discontinue any part of the Site or anyProduct or service offered through the Site at any time without notice.

15.2 Changes to These Terms. We may update these Terms from time to time. When we do, we will post the updated Terms on the Site with an updated "Last Updated" date. Changes will be effective when posted, unless a later effective date is specified. Your continued use of the Site after the effective date of any changes constitutes your acceptance of the revisedTerms.

16. Governing Law and Dispute Resolution

16.1 Governing Law. These Terms and any dispute or claim arising out of or in connectionwith them, the Site, or any Products purchased through the Site will be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice or conflict of laws provision or rule.

16.2 Informal Resolution. Before initiating any formal legal action, you agree to contact us at editions@jennakrypell.com and provide a brief written description of the dispute and yourcontact information, and to allow us thirty days to attempt to resolve the dispute informally.

​

16.3 Venue. Subject to any arbitration agreement (if applicable and if you choose to includeone), you and we agree that any legal suit, action, or proceeding arising out of or relating to these Terms, the Site, or any Products will be instituted exclusively in the state or federalcourts located in New York County, New York. You consent to the personal jurisdiction of such courts and waive any objection to such courts as inconvenient or improper forum.

16.4 Jury Trial Waiver (If Enforceable). TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND WE EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.

17. Notice to New York and Other Consumers

Depending on your state of residence, you may have additional rights as a consumer underapplicable state law. Nothing in these Terms is intended to limit any non-waivable rights you may have under such laws, including any non-waivable rights under New York consumer protection laws.

18. Miscellaneous

18.1 Entire Agreement. These Terms, together with our Privacy Policy, Return Policy, and any additional terms incorporated by reference, constitute the entire agreement between youand us with respect to the Site and the purchase of Products and supersede all prior or contemporaneous understandings or agreements regarding such subject matter.

18.2 Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, such provision will be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will remain in full force and effect.

18.3 No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

18.4 Assignment. You may not assign or transfer your rights or obligations under these Termswithout our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.

By accessing or using the Platform, creating an account, or purchasing any product, you agreeto these Terms. If you do not agree, do not use the Platform.

1. Who We Are

The Platform is operated by Jenna Krypell Studio LLC and JK Editions LLC (the “Company,” “we,” “us,” or “our”).

2. Eligibility

You must be at least 18 years old and have legal capacity to enter into a binding contract to use the Platform.

If you use the Platform on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration and Security

3.1 Account creation. You may create an account to access features such as your orderhistory, saved addresses, and payment methods. You agree to provide accurate, current, and complete information and to keep it updated.

3.2 Credentials and security. You are responsible for maintaining the confidentiality of yourlogin credentials and for all activity under your account. You must notify us promptly at [SUPPORT EMAIL] if you suspect unauthorized access.

3.3 Account restrictions. You may not:

• create accounts using false identities or information;

• share your account or allow others to access it except as expressly permitted by us;

• circumvent access controls or security measures.

3.4 Suspension/termination. We may suspend or terminate your account (and access to the Platform) if we reasonably believe you breached these Terms, used the Platform unlawfully, or created risk or potential legal exposure for us or other users.

4. Platform Use Rules

4.1 Permitted use. You may use the Platform only for lawful purposes and in accordance with these Terms.

4.2 Prohibited conduct. You must not, and must not attempt to:

• copy, scrape, harvest, or index the Platform or content using automated means except as allowed by robots.txt or our written permission;

• interfere with the Platform’s operation, security, or availability (including by introducingmalware or engaging in denial-of-service attacks);

• access non-public areas without authorization;

• reverse engineer, decompile, or attempt to discover source code except to the extent suchrestriction is prohibited by applicable law;

• use the Platform to infringe others’ rights, including intellectual property or privacyrights;

• submit false, misleading, defamatory, obscene, or unlawful content.

5. Products, Listings, and Availability

5.1 Nature of products. The Platform sells art, prints, and collectible items (the “Products”). Product images are for illustrative purposes; colors and appearance may vary by screen and lighting.

5.2 Availability and errors. All Products are subject to availability. We may correct errors, inaccuracies, or omissions at any time (including after an order is submitted) and may change or update information without prior notice.

5.3 Unique items. For one-of-a-kind or limited-edition Products, you acknowledge that minor variations may exist and that availability may change quickly.

6. Orders and Payment

6.1 Placing orders. Submitting an order is an offer to purchase. Your order is accepted onlywhen we send an order confirmation indicating acceptance or when we dispatch the Product (as applicable).

6.2 Prices and taxes. Prices are displayed in US dollars and exclude taxes as shown. Taxes applicables will be add at checkout. You are responsible for any applicable duties, customs fees, or import taxes unless we state otherwise.

6.3 Payment. You must pay using the payment methods available at checkout. We may use third-party payment processors. You authorize us (and our payment processors) to charge your selected payment method for the order total, including applicable taxes and shipping.

6.4 My Wallet (saved payment methods). The Platform offers a feature labeled “MyWallet” that allows you to store payment methods:

• Saved payment methods are stored and processed by our payment processor(s), not by us, unless we explicitly state otherwise.

• We do not store full card numbers (except as provided by the payment processor in tokenized form), and we do not have access to your full payment credentials.

• You are responsible for keeping your saved payment method information current and for removing any payment method you no longer have the right to use.

• We may remove saved payment methods if required by the payment processor, applicable law, or our security policies.

6.5 Payment authorization and fraud screening. We may perform fraud and securitychecks. We may cancel or refuse orders where we reasonably suspect fraud, unauthorizedtransactions, or other unlawful activity.

7. Shipping, Delivery, and Risk of Loss

7.1 Shipping terms. Shipping options, costs, and estimated delivery times are displayed at checkout. Delivery dates are estimates and not guaranteed.

7.2 Addresses. You are responsible for providing complete and accurate shipping information. We are not responsible for delays or non-delivery caused by incorrect addresses.

7.3 Risk of loss and title. Risk of loss transfers to you upon delivery to the carrier, unlessapplicable consumer law provides otherwise.

7.4 Inspection; damaged shipments. You must inspect shipments upon receipt. If a Product is damaged or missing, you must notify us within two (2) days of delivery and provide reasonable supporting information (photos, packaging, etc.).

8. Returns, Withdrawals, and Refunds

8.1 Return policy. As indicated in our terms and conditions, we do not accept returns.

8.2 Consumer withdrawal rights (EU/France). If you are a consumer in the EU/France, statutory withdrawal rights may apply, subject to legal exceptions (including for customizedor made-to-order items, or sealed goods unsealed after delivery, where applicable). Whererequired, we will provide the legally mandated withdrawal information and form.

8.3 Refund timing. Approved refunds will be issued to the original payment method (or as otherwise required by law) within the timeframes required by applicable law and our paymentprocessor.

 

9. Intellectual Property

9.1 Our IP. The Platform, including its design, text, graphics, logos, product descriptions, photographs, and all software and other content (excluding User Content, if any) is owned by or licensed to the Company and is protected by intellectual property laws.

9.2 Limited license. We grant you a limited, non-exclusive, non-transferable, revocablelicense to access and use the Platform for personal, non-commercial purposes, solely as permitted by these Terms.

9.3 Artwork and images. 

Unless explicitly stated in writing, purchasing a Product does not transfer intellectual property rights in the artwork, images, or designs. You may not reproduce, distribute, publicly display, or create derivative works from the artwork except as expressly permitted by applicable law or by our written authorization.

10. Third-Party Services and Links

12. Disclaimers

12.1 Platform provided “as is.” To the maximum extent permitted by law, the Platform isprovided on an “as is” and “as available” basis. We do not warrant that the Platform will beuninterrupted, secure, or error-free.

12.2 Product disclaimers. Except as expressly stated in these Terms, on a Product page, or as required by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.3 No advice. Any information on the Platform is provided for general information onlyand does not constitute professional advice.

13. Limitation of Liability

13.1 Indirect losses. To the maximum extent permitted by law, we will not be liable for anyindirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, or data, arising out of or related to your use of (or inability to use) the Platform or any Product.

13.2 Liability cap. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Platform, these Terms, or any Product will not exceed the greater of the amounts you paid to us for the Product(s) giving rise to the claim in the 12 months before the event giving rise to liability.

13.3 Consumer rights. Nothing in these Terms excludes or limits liability that cannot beexcluded or limited under applicable law (including mandatory consumer protection rights or liability for death or personal injury caused by negligence, fraud, or willful misconduct, where applicable).

14. Indemnity

To the maximum extent permitted by law, you will indemnify and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arisingfrom your breach of these Terms or your misuse of the Platform.

15. Changes to the Platform and These Terms

We may modify the Platform and these Terms from time to time. If we make materialchanges, we will take reasonable steps to notify you (for example by posting an update on the Platform or via email if you have an account). Your continued use of the Platform after the effective date of the updated Terms constitutes acceptance.

16. Term and Termination

These Terms apply while you use the Platform.

You may stop using the Platform at any time. We may terminate or suspend your access as described in Section 3.4.

Sections that by their nature should survive termination will survive, including Sections 9(Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnity), 17(Governing Law), and 18 (Miscellaneous).

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of New York without regard to conflict of lawsprinciples.

If you are a consumer, you may also benefit from mandatory protections of the law of yourcountry of residence.

Any dispute arising from or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the competent courts located in New York State unless applicable consumer law provides otherwise.

 

18. Miscellaneous

18.1 Entire agreement. These Terms, together with any policies referenced (including the Return Policy and Privacy Policy), constitute the entire agreement between you and us regarding the Platform.

18.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect.

18.3 No waiver. Failure to enforce any provision is not a waiver.

18.4 Assignment. You may not assign these Terms without our prior written consent. We mayassign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

18.5 Notices. We may provide notices to you via the Platform, email, or your account. You may provide notices to us by email to editions@jennakrypell.com and, if required, by registered mail to the address in Section 1.
